In accordance with Article VI and VII of the AIC Articles of Association, the President has appointed the following members as the Nominating Committee: Ron Banks (Chairman), Edward Flaherty, Jean-Claude Peterschmitt, Roy F. Ryan, and Robert Race. Philip Sundquist served as Secretary.

The Nominating Committee proposes the following candidates for positions as Officers and elected Members of the Executive Committee for the year 2022.

At the AIC  Executive Committee meeting held on 28 September 2021, the Club President  asked the Club Development Committee (Club Dev) Chair to convoke the Club Dev Committee to consider whether an apparent ambiguity/lacuna in the Club’s Articles of Association concerning the nomination/appointment of the chairs of the Nominating and Club Dev Committees should be clarified, as the recent practice of the Club was to have the chairs nominated by the Nominating Committee and voted on by the Annual General Meeting (AGM) although this was not expressly provided for by Article VI[1]

 

At the last Executive Committee meeting held on 16 November 2021, the Club Dev Chair delivered the recommendation of the Club Dev Committee that the Chairs of the Nominating and Club Development Committees be appointed by the Club President and be confirmed by majority vote of the Executive Committee, rather than being voted on at the Club’s Annual General Meeting.

 

The Executive Committee by majority vote accepted the recommendation of the Club Development Committee to clarify Article VI of the Club’s Articles of Association, and to expressly provide therein that the chairs of the Nominating and Club Development Committees be nominated by the Cub President and confirmed by majority vote of the Executive Committee, and that the change to the first paragraph of the section of Article 6 (‘Other Committees’) be amended by adding the text below in red:

 

 

‘Other Committees:

There are two permanent Committees; namely, the Club Development and the Nominating Committees. Each of these Committees shall consist of a minimum of three members named by the Executive Committee. The Chairs of each of these two Committees shall be previous Club Presidents or Vice Presidents.  The Chair of each of these two Committees, upon a vacancy in either post, shall be nominated by the President and confirmed by a majority vote of the Executive Committee.’

The Executive Committee also voted to put this proposed change to Article VI of the Club’s Article’s of Association to a vote of Club Members at the 2021 Annual General Meeting.

 

[1] Article VI – Officers, Executive and other Committees
The Officers:

  • The President, who must be a US citizen, will serve as chief executive officer of the Club and have overall responsibility for operations of the Club under the authority of the Executive Committee;
  • Three Vice Presidents, at least one of whom must be a US citizen;
  • The Secretary; and
  • The Treasurer.

All officers will be elected by the members at the Club's Annual General Meeting for a term of one year.

The Executive Committee:

In addition to the officers, the Executive Committee will include:

  • Four Elected Members, two of whom must be US citizens. Elected Members will be elected by the members at the Club's Annual General Meeting for terms of two years. The terms of two Elected Members expire at the end of one year, and the terms of the other two Elected Members expire at the end of the following year.
  • Advisory Members will be three of the last five most recent past Presidents who reside in the Geneva area and will be appointed by the President.
  • Members appointed by the President for one-year terms with specific responsibilities as approved by the Executive Committee.

Other Committees:

There are two permanent Committees; namely, the Club Development and the Nominating Committees. Each of these Committees shall consist of a minimum of three members named by the Executive Committee. The Chairs of each of these two Committees shall be previous Club Presidents or Vice Presidents.

The President, with the approval of the Executive Committee, may establish other committees, determine their functions and appoint their members.
